Terms of Service

Our terms and conditions

Effective Date: October 7, 2025

These Terms of Use (“Terms”) govern your access to and use of the Mermaid knowledge search platform (the “Service”) operated by McAllister Towing & Transportation Co., Inc. (“McAllister,” “we,” “us,” or “our”).

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Internal Use Authorization

The Service is provided for internal business use by McAllister employees and authorized contractors only. You represent and warrant that:

  • You are an authorized McAllister employee or contractor
  • You will use the Service only for legitimate business purposes
  • You will not share your account credentials with others
  • You will comply with all McAllister information security policies

3. User Accounts

You are responsible for maintaining the confidentiality of your account and password. You agree to:

  • Provide accurate and complete registration information
  • Update your information to keep it current
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use the Service to:

  • Upload or transmit any unlawful, harmful, or inappropriate content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of McAllister or third parties
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or any harmful technology
  • Use the Service for any commercial purpose outside McAllister

5. Data and Content

5.1 Your Content

You retain ownership of content you upload (“Your Content”). By uploading content, you grant McAllister a license to:

  • Store, process, and display Your Content
  • Generate embeddings and derived data for search functionality
  • Use aggregated, anonymized data for service improvement

5.2 Company Content

All McAllister content accessed through integrations (Notion, Airtable, GitHub) remains the property of McAllister. You agree to:

  • Maintain confidentiality of proprietary information
  • Use company data only for authorized business purposes
  • Not export or share sensitive data outside approved channels

6. Third-Party Services

The Service integrates with third-party platforms (OpenRouter, OpenAI, Notion, Airtable). Your use of these integrations is subject to their respective terms of service.

7. Service Availability

We strive to maintain 99.5% uptime but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with advance notice
  • Suspend the Service for emergency maintenance
  • Modify or discontinue features with reasonable notice

8. Usage Limits and Billing

Your usage is subject to budget caps set by your account administrator. We reserve the right to:

  • Implement rate limiting to prevent abuse
  • Throttle queries when approaching budget limits
  • Suspend accounts that exceed allocated budgets

9. Intellectual Property

The Service, including its design, functionality, and underlying technology, is the property of McAllister or its licensors. You may not:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile the Service
  • Remove or alter any proprietary notices

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be error-free or uninterrupted
  • AI-generated responses will be accurate or complete
  • The Service will meet your specific requirements
  • Any errors will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCALLISTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

12. Termination

We may suspend or terminate your access to the Service at any time for:

  • Violation of these Terms
  • Termination of employment or contractor relationship with McAllister
  • Suspected fraudulent or abusive activity
  • Legal or regulatory requirements

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Monmouth County, New Jersey.
